Rights Offering Details

Genius Group Limited has unveiled a $33 million rights offering aimed at enhancing its Bitcoin Treasury. Shareholders will receive one transferable right per ordinary share held as of January 24, 2025. This right allows holders to purchase an additional share at a subscription price of $0.50. Those who fully exercise their rights can subscribe for more shares through an over-subscription privilege.

Shareholders may trade their rights on the NYSE American under the symbol "GNS RTWI" starting January 23, 2025, with regular trading under "GNS RT" from January 27, 2025, until the offer's expiration on February 14, 2025.

Purpose and Financial Strategy

The entirety of the funds raised will be allocated to purchasing Bitcoin, potentially increasing the company's Bitcoin Treasury from $35 million to $86 million, assuming full subscription. Additionally, the company is exploring further loan financing options totaling up to $20 million.

Founder and Management Involvement

Roger Hamilton, Genius Group's CEO, plans to acquire 500,000 additional shares, bringing his ownership to approximately 6.8 million shares. Hamilton intends to fully subscribe to his rights, acquiring additional shares under the same conditions as other shareholders.

Participation Process

Registered shareholders will receive a rights certificate. Those holding shares through brokerage accounts must instruct their brokers to exercise rights on their behalf.
