Adecoagro and Tether Announce Strategic Acquisition Deal

Adecoagro S.A., a leader in sustainable production in South America, and Tether, the issuer of the world's largest stablecoin USDT, have announced a strategic acquisition deal. Tether will commence a tender offer to acquire up to 49,596,510 common shares at $12.41 each, aiming for approximately 70% ownership. The deal requires at least 51% of shares to be tendered for closure.

Adecoagro's CEO, Mariano Bosch, expressed excitement about Tether's involvement, highlighting their shared entrepreneurial spirit and commitment to technology-driven growth. Bosch emphasized Tether's support for the company's strategic vision and the benefits of new board members and management retention plans. He also noted his decision to retain his shares to facilitate the deal.

CFO Emilio Gnecco added that the company is poised for sustainable growth, with Tether's investment enabling more ambitious expansion. Paolo Ardoino of Tether outlined their strategy to back innovative, sustainable companies, aligning with Adecoagro's focus on food and renewable energy.

The transaction is advised by J.P. Morgan, Davis Polk, Elvinger Hoss Prussen, and McDermott Will & Emery, underscoring its strategic significance. This partnership is expected to drive long-term value and economic resilience in key regions.
